1. General provisions

1.3 By using the Website or ordering Services after the Terms have changed, you agree to the changed Terms. If you do not agree to the changes, you should stop using our services.

2. Definitions

2.1 Services - include all activities provided by the Provider, including professional consultations, implementation of corporate software, website development, IT support, and others.

2.2 Contract - any agreement for the provision of services between the Customer and the Provider, which arises on the basis of the Customer's order and its confirmation by the Provider.

2.3 Order - a written, electronic or telephone request from the Customer for the provision of specific services by the Provider.

2.4 Quotation - a document containing a proposal of the price and scope of services, which is sent to the Customer on the basis of the Customer's order.

3. Services provided

3.1 The Provider offers the following categories of services:

  • Expert consultancy: provision of expert advice in the field of information technology, optimization of business processes, and selection of appropriate software solutions.
  • Implementations of corporate software: Introduction of enterprise systems (e.g. Odoo ERP) into the Customer's operations, including integration, configuration and training.
  • Website development: development and implementation of web solutions and e-commerce platforms according to the Customer's needs.
  • IT support: providing technical support for IT troubleshooting and IT infrastructure management.

3.2 Detailed specifications of individual services are provided on the Provider's website.

3.3 The Provider reserves the right to change the content, scope and prices of the services provided at any time.

4. Ordering of services and conclusion of the contract

4.1 The Customer may order the Services by means of an electronic form on the Website, by e-mail, by telephone or in any other agreed manner.

4.2 Upon receipt of the order, the Provider shall send the Customer an order confirmation and a quotation.

4.3 The contract between the Customer and the Provider arises upon confirmation of the quotation by the Customer or the signing of a written agreement between the two parties.

4.4 The Customer agrees that the provision of the Services shall commence upon conclusion of the Contract, unless otherwise agreed.

5. Prices and payment terms

5.1 The price for the services provided is set on the basis of a price list or on the basis of an individual agreement. The price list may be published on the website or will be included in the quotation.

5.2 Payment shall be made on the basis of an invoice issued by the Provider. The invoice shall be due 14 days from receipt, unless otherwise agreed.

5.3 In the event of late payment, the Provider shall be entitled to charge interest on late payment at the rate of 0.05% per day on the amount due.

5.4 The Provider shall be entitled to suspend the provision of services if the Customer fails to make payment within the specified period.

5. Rights and Obligations of the Parties

6.1 The Provider undertakes to provide services in accordance with the concluded contract, with professional care and within the agreed scope.

6.2 The Customer undertakes to provide the Provider with all necessary information and assistance for the proper and timely provision of services.

6.3 The Customer is responsible for the accuracy and completeness of the information provided. The Provider shall not be liable for damages caused by incorrect or incomplete information provided by the Customer.

6.4 The Provider reserves the right to interrupt the provision of services due to technical problems or force majeure. In such a case, the Provider undertakes to resume the provision of services as soon as possible.

7. Warranties and Claims

7.1 The Provider provides a guarantee for the quality of the services performed according to the concluded contract.

7.2 Complaints regarding the services provided must be made in writing by the Customer within 14 days of the provision of the service.

7.3 The Provider undertakes to deal with the complaint within [number of days, e.g. 30 days] of its receipt. If the complaint is justified, the Provider shall arrange for the remedy at its own expense.

6. Privacy Policy

8.1 The Provider undertakes to protect the Customer's personal data in accordance with applicable legislation, in particular the GDPR (General Data Protection Regulation).

9. Termination of the Contract

9.1 The Contract may be terminated:

  • by written agreement of both parties,
  • withdrawal from the contract in the event of a breach of the terms of the contract by one of the parties,
  • the fulfillment of all contractual obligations. 

9.2 The Customer may withdraw from the contract if the Provider fails to perform the services within the agreed time or in the quality agreed in the contract.

7. Final provisions

10.1 These Terms and Conditions shall come into force on the date of their publication on the Provider's website.

10.2 In the event that any provision of these Terms shall be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
